Management Board Member & Finance Lead (Estonia)

About the role

Orbital's Estonian entity, Pay Perform AS, is seeking a Management Board Member and Finance Lead to sit on the Management Board while it applies for authorisation as a crypto-asset service provider under MiCA and as an e-money institution. The role shares collective responsibility for the company's direction, governance and control and owns the finance function in Estonia, including regulatory finance, statutory reporting and tax. It is based in Tallinn and cannot be done remotely.

Key responsibilities

• Serve as a Management Board member with a designated area of responsibility, taking part in collective decisions on strategy, budget, risk appetite, policies and operational resilience.
• Oversee outsourced and intra-group services, own their service levels and KPIs, and report performance, breaches and remediation to the Management Board and Supervisory Board.
• Prepare and present reports to the Supervisory Board and represent the company to the EFSA, auditors and other external stakeholders.
• Lead the finance function: statutory financial statements under Estonian GAAP, IFRS consolidation reporting and external audit.
• Prepare and submit regulatory returns to the EFSA, including own funds, prudential and capital-adequacy reporting under MiCA and e-money requirements.
• Own capital and liquidity planning, financial forecasts, stress testing, safeguarding of client funds and segregation of client crypto-assets.
• Own Estonian tax compliance (corporate income tax, VAT, withholding tax) and manage transfer pricing for intra-group services.
• Share regulatory finance expertise across the group and help improve reporting processes, including through automation and AI tools.

Required profile

• Qualified accountant (ACCA, CIMA, ACA, CPA or equivalent) with significant experience in finance within regulated financial services, at senior level.
• Experience preparing regulatory returns and own funds or capital reporting for an EU-regulated firm (EMI, payment institution, credit institution, CASP or investment firm).
• Experience overseeing outsourced or third-party services, including setting and monitoring service levels and KPIs.
• Clean fit and proper profile: no unspent convictions for economic, official or property offences, no regulatory sanctions, no pending proceedings, good repute.
• Fluent English; professional-level Estonian strongly preferred.

Required skills

• Working knowledge of Estonian GAAP and IFRS, and of transfer pricing within a group.
• Preferred: previous service on a management board of a regulated entity, direct experience with the EFSA, knowledge of MiCA, DORA and the EBA outsourcing guidelines, and experience in a CASP, EMI or payments business within an international group.
